파라택시스이더리움, 파라택시스코리아 흡수합병에 독립 특별위 구성

Paratexis Ethereum has formed an independent Merger Special Committee of three outside directors as it pursues a merger by absorption with Paratexis Korea. The committee, drawing on outside legal and accounting opinions, will review the appropriateness of the merger ratio and its impact on existing shareholders' equity stakes, voting rights, and economic value, including issues around fractional shares. CEO Lee Myung-hoon said the company will respect the committee's findings and transparently disclose key matters to the market.

Paratexis Ethereum在推进与Paratexis Korea的吸收合并过程中，成立了由三名独立董事组成的合并特别委员会。该委员会将借助外部法律和会计机构的意见，审查合并比例的适当性及其对现有股东持股比例、表决权和经济价值的影响，并处理零股问题。代表理事李明勋表示，公司将尊重委员会的审查结果，并向市场透明公开重要事项。

Paratexis Ethereum a mis en place un comité spécial de fusion indépendant, composé de trois administrateurs externes, dans le cadre de sa fusion par absorption avec Paratexis Korea. Le comité, en s'appuyant sur des avis juridiques et comptables externes, examinera la pertinence du ratio de fusion ainsi que son impact sur la part, les droits de vote et la valeur économique des actionnaires existants, y compris la question des actions fractionnaires.
