파라택시스이더리움, 파라택시스코리아 흡수합병 철회…계약 해제 합의

Paratax Ethereum (Korean company Parataxis Ethereum) has withdrawn its plan, pursued since April, to absorb Parataxis Korea. The decision followed the Korea Exchange's delisting decision on Parataxis Korea and its injunction filing, which made the merger timeline unpredictable. After review by an outside-director special committee and external legal advice, the board terminated the merger agreement and cancelled the extraordinary shareholders' meeting planned for November 27.

Parataxis Ethereum 宣布撤回自4月起推进的对 Parataxis Korea 的吸收合并。韩国交易所决定将 Parataxis Korea 退市，后者又申请暂停效力的假处分，导致合并完成时间难以预测。经独立董事组成的合并特别委员会审查及外部法律咨询后，董事会解除了合并协议，并取消原定于11月27日召开的临时股东大会。

La Bourse coréenne ayant décidé de radier Parataxis Korea, qui a demandé la suspension de cette décision en référé, le calendrier de la fusion est devenu imprévisible. Après examen par un comité spécial d'administrateurs indépendants et conseil juridique externe, le conseil a résilié l'accord de fusion et annulé l'assemblée générale extraordinaire prévue le 27 novembre.
